SOFTWARE LICENSE AGREEMENT

Developer: Welledge Technologies (HDSS LLC)

Effective Date: The date on which the Software is first installed or accessed by the Licensee.

This Software License Agreement (“Agreement”) is a legal contract between you (either an individual or a legal entity) and Welledge Technologies (“Licensor”) regarding your use of the software product HDS, including any updates, associated media, printed materials, and electronic documentation (“Software”).

GRANT OF LINCESE:

Subject to the terms and conditions of this Agreement, Welledge Technologies (HDSS LLC) hereby grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to:

• Install and use one (1) copy of the Software on a single device for internal business or personal use.

• Access software functionalities as intended, provided that license validation is successfully performed.

You acknowledge that no ownership of the Software is transferred to you through this license.

LICENSE RESTRICTIONS:

You may not do any of the following without prior written consent from Welledge Technologies (HDSS LLC):

• Modify, adapt, translate, reverse engineer, decompile, or disassemble the Software or any portion thereof.

• Reproduce, distribute, lease, rent, sublicense, or otherwise transfer the Software to any third party.

• Use the Software to develop or support any competing product or service.

• Circumvent or disable any security or licensing mechanisms embedded in the Software.

• Remove, obscure, or alter any proprietary notices, logos, or labels embedded in the Software.

INTELLECTUAL PROPERTY RIGHTS

All rights, title, and interest in and to the Software, including but not limited to source code, design, architecture, algorithms, trademarks, and all associated intellectual property rights, are and shall remain the sole property of Welledge Technologies (HDSS LLC).

This Agreement does not convey to you any rights of ownership in the Software. All rights not expressly granted herein are reserved by the Licensor.

LICENSE VALIDATION AND INTERNET CONNECTOVITY

The Software includes functionality that requires periodic communication with Welledge Technologies' license server for verification of license status. By using the Software, you agree that:

• The Software may transmit limited system and license data to verify authorization.

• An active internet connection is required for ongoing validation.

• Failure to validate your license may result in reduced functionality or restricted access.

TERM AND TERMINATION

This Agreement is effective from the date the Software is installed or used and continues until terminated.

Termination Conditions:

• Automatically upon your failure to comply with any provision of this Agreement.

• By either party with prior written notice, in the case of a perpetual license breach or dispute.

Upon termination:

• All rights granted under this license will cease immediately.

• You must uninstall the Software and destroy all copies in your possession.

DISCLAMER OF WARRANTIES

The Software is provided “AS IS” without warranties of any kind, whether express or implied.
Welledge Technologies disclaims all warranties, including but not limited to:

• Merchantability

• Fitness for a particular purpose

• Non-infringement

You assume all risk arising from the use of the Software.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Welledge Technologies shall not be liable for any indirect, incidental, special, or consequential damages whatsoever, including but not limited to:

• Loss of revenue or profit

• Data loss

• Business interruption

• Failure of the Software to operate with other software or hardware

Even if advised of the possibility of such damages, liability shall in no event exceed the price paid for the license.

GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of [Insert Country/State].

ENTIRE AGREEMENT
